Operation & Maintenance — Copenhagen Metro M1+M2.
The Contract comprises the operation and maintenance of the complete system of the Copenhagen Metro, M1+M2.
The Copenhagen Metro, M1+M2, is a driverless metro system. It has two lines running from suburban Vanløse to Vestamager (M1) and Lufthavnen (M2). The lines share common tracks between Vanløse and a bifurcation after Christianshavn.
The sections from Nørreport to Vestamager and Nørreport to Lergravsparken opened in 2002. The section from Vanløse to Nørreport opened in 2003 and the final section from Lergravsparken to Lufthavnen opened in 2007. The lines cover 21 km. 10 km in tunnels and 11 km on elevated tracks and embankment. There are 22 stations of which 9 are situated underground.
The Copenhagen Metro runs 24 hours a day 7 days a week.
The number of passengers in 2015 was 57 mio. The number of passengers is expected to increase when Cityringen, a new underground circle metro line in Copenhagen opens.

The Contract comprises a mobilisation period of maximum 10 months covering the period from the signing of the Contract to the start of the operation period, 1st January 2019, an operation period of 5 years and 7 months (67 months) combined with an optional extension of the operation period of maximum 5 years (60 months), cf. part II.2.11, below.
In the operation period the O&M Provider shall handle all operation and maintenance of the complete metro system of the Copenhagen Metro, M1+M2. This includes all usual and necessary services for operating and maintaining a complete metro system. At start of the operation period the metro system has been operating for approximately 16 years.
Metroselskabet hands over all assets included in the metro system and the right of use of the assets to the O&M Provider at the beginning of the operation period. However, the assets are and remain the property of Metroselskabet.
The assets include all that Metroselskabet hands over to the O&M Provider related to the execution of the Contract, below here but not limited to:
— Tunnels and structures, hereunder stations (the full station box, which also includes technical rooms, bicycle parking areas, stairs) transfer areas/tunnels, shafts, bridges and embankments
— Railway infrastructure including Power supply, Traction Power, Permanent Way, ATC-system, Platform screen doors, Automatic platform gates, Passenger security and information systems, SCADA, Access control systems and Intrusion detection systems, Radio communication systems and Transmission systems, Passenger counting system, Rejsekort system and Ticketing system
— Electrical and mechanical installations and equipment in tunnels, structures, stations, transfer areas/tunnels, shafts and CMC
— Passenger Vehicles and Service Vehicles.
— Control and Maintenance Center incl. outdoor areas.
— Documentation, Manuals, Procedures.
— IT systems and programmes.
— Management systems.
— Movables (løsøre).
— Consumables.
— Spare parts.
As an option the operation period can be extended up to 60 months.
The four (4) Applicants who will be invited to participate in the tender will be selected among the Applicants that comply with the minimum requirements in Section III of this contract notice and who has submitted completed, dated and signed European Standard Procurement Document(s) (ESPD) as described below in part III. The selection of Applicants will be based on an overall assessment of how Metroselskabet can obtain the best possible competition based on the two (2) criteria listed below in prioritized order:
A) The Applicant's technical and professional capacity based on the information requested in part III.1.3 below with focus the Applicant's experience in (i) operation and maintenance of a driverless metro, (ii) operation and maintenance of a metro system operating 24/7 and (iii) operation and maintenance of a 16+ years old metro, in prioritized order.
B) The Applicant's economic and financial capacity based on an overall assessment of the information requested in part III.1.2 below.
The Contract contains the following four (4) options:
(1) An option on an extension of the operation period for a maximum of 60 months (5 years).
(2) An option on omitting a service vehicle from the Contract.
(3) An option on omitting the Customer Service Centre from the Contract.
(4) An option on omitting alternative bus operation from the Contract.
Further details on the options are described in Clause 5 of the Conditions of Contract (‘Hovedbetingelser’) and in section 16 of Contract Specifications.
Section III: Legal, economic, financial and technical information
The application for prequalification must be accompanied by information on the Applicant's economic key figures for the last three (3) available years as follows:
General yearly turnover:

Financial ratio:
— Solidity (equity/total assets)
Other economic or financial requirements:
— Profit/loss for the year after taxation.
— Equity capital.
— Total assets.
Formality:
The information stated above must be provided in ESPD part IV.B.
If the Applicant is a consortium, joint venture or the like the above mentioned information must be submitted for each participant in the consortium etc.
If the Applicant is based on economic and financial capacity of a third party (e.g. parent company or sub-contractor), the third party shall complete ESPD part IV.B and sign part VI. The signed ESPD will form the documentation of the third party's availability.
Documentation:
The four (4) Applicants who are invited to participate in the tender shall document the above listed information regarding economic and financial capacity by submitting audited annual reports for the last three (3) years upon receiving Metroselskabet's invitation to participate in the tender.
There must be no risk worth mentioning that for economic and financial reasons the Applicant will not be able to complete the assignment satisfactorily.
In ESPD part IV.C the Applicants shall give information on assignments that are similar or comparable to the one subject to this tender performed within the last ten (10) years. The Applicants can give information on maximum five (5) references. For each reference the following must be stated:
— Client name and contact information.
— Contract sum and duration.
— Scope of work including description of metro system, age of metro, operating hours.
— The Applicant's role in the project; whether the Applicant has performed the assignment alone, as a part of a consortium or as a sub-contractor.
— Experience with operating and maintaining in customer focused environment.
— Experience in engineering and handling of renewal projects.
— Performance, results and improvements delivered to the client.
Formality:
The information stated above must be provided in ESPD part IV.C. Applicants are requested to enter all requested information in the ESPD. If there is information, which, because of their shape cannot be entered in the ESPD (e.i. drawings, pictures or figures) the information may be attached to the ESPD in annex.
If the Applicant is a consortium, joint venture or the like the above mentioned information must be submitted for each participant in the consortium etc.
If the Applicant is based on technical and professional capacity of a third party (e.g. parent company or sub-contractor), the third party shall complete ESPD part IV.C and sign part VI. The signed ESPD will form the documentation of the third party's availability.
Documentation:
The four (4) Applicants who are invited to participate in the tender shall document the above listed information regarding technical and professional capacity by submitting descriptions of the references that contains the above mentioned information upon receiving Metroselskabet's invitation to participate in the tender.
The applicant shall demonstrate solid experience with services similar or comparable to the services subject to this tender.
The Applicant must submit a completed, dated and signed ESPD. Completion of the ESDP must take place on https://ec.europa.eu/growth/tools-databases/espd/welcomeby importing XML-file from www.m.dk/ procurement/O&M. Please submit the ESPD in English.
The Applicant shall complete ESPD part II, III, IV (cf. part III.1.2 and III.1.3 above) and V including date and sign ESPD part VI.
If the Applicant is a consortium, joint venture or the like each participant in the consortium etc. must submit a separate ESPD containing all the information stated above in part III.1.2 and III.1.3 and the information stated in ESPD part II-VI.
If the Applicant is based on the capacity of a third party (e.g. parent company or sub-contractor), the third party shall complete and submit ESPD part II (only A and B), III, IV (cf. part III.1.2 and III.1.3 above) and V including date and sign ESPD part VI.

If the Applicant when applying for prequalification has relied upon economic and financial resources of a third party e.g. a parent company or a subcontractor, and the Applicant (the ‘O&M Provider’), is awarded the contract this third party must submit an unlimited surety bond (selvskyldnerkaution) covering all the O&M Provider's obligations under the Contract. If the winning Tenderer is a consortium, joint venture or the like each participant in the consortium etc. must undertake joint and several liability for all obligations arising from the Contract by signing the Consortium declaration in the Contract. The consortium etc. must appoint an authorized representative who has all powers to undertake commitments, receive orders and payment and act on behalf of the consortium etc. The surety bond and the signed Consortium declaration must be provided by the O&M Provider no later than 10 working days following the signing of the Contract.
The contract includes social clauses -see Clause 10 in the Conditions of Contract (‘Hovedbetingelser’).

Section VI: Complementary information
Part of the procurement documents are confidential and therefore only available to the prequalified Applicants, conditioned upon the Applicants' signing of a non-disclosure agreement.
Metroselskabet will forward the non-disclosure agreement to the prequalified Applicants along with the invitation to tender. The prequalified Applicants must sign and return the non-disclosure agreement to Metroselskabet. This should be done within a time limit of 5 calendar days upon which they are given access to the confidential procurement documents.
A list of the confidential procurement documents is available in Section 3 of the Instruction to Tenderers along with an instruction on to how to access the procurement documents including the confidential procurement documents.
It is Metroselskabet's opinion that the confidential procurement documents are not decisive to the Applicants' decision on whether to apply for prequalification.

Complaints against not being prequalified shall be lodged to Klagenævnet for Udbud no later than 20 calendar days from the day after the day Metroselskabet has sent a notification to the affected Applicants on who has been prequalified. Complaints in respect of other issues than not being prequalified shall be lodged to Klagenævnet for Udbud no later than 45 calendar days after the award of contract has been published in TED.
